As used in the Terms and at XIONCO.COM, xionco.com, xionco, the Site, HIG, PT HALIM INTI GAHARA, “We,” “Us,” “Our” refer to PT. Halim Inti Gahara, with headquarters located at Jl. Ciputat Raya No. 8, Pondok Pinang, Jakarta Selatan, Indonesia.

We reserve the right, at our own discretion, to include your account on our blacklist, refuse service to you, or cancel orders.
SHIPPING AND PROCESSING

INTELLECTUAL PROPERTY RIGHTS

HALIM INTI GAHARA or our authorized licensors and are protected by intellectual property and other applicable laws in INDONESIA and/or abroad. Our intellectual property is registered in INDONESIA and abroad. Unless otherwise specified in these Terms, you may not download, upload, copy, print, display, reproduce, publish, license, post, distribute, or use any Materials in whole or in part for any general or commercial purposes without prior written permission from PT. HALIM INTI GAHARA. We are the owner and/or official user of the XIONCO brand, as well as other registered or unregistered trademarks, trade names, logos, designs, titles, and product names that appear, and we are the copyright owner or licensee of the Materials, unless stated otherwise (Law No. 19 of 2002 concerning Copyright (UUHC)).

Our goal is to create a positive, useful, and safe user experience. To promote this goal, we prohibit certain types of behavior that may be harmful to us and affiliates. When using our services, you must not:

INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold PT HALIM INTI GAHARA and its affiliates harmless from and against any and all claims, costs, proceedings, demands, losses, damages, and expenses (including, without limitation, reasonable attorney’s fees and legal costs) in any form or nature arising out of or related to the actual or alleged breach of these Terms by you or anyone using your account. If we assume the defense of such a matter, you will reasonably cooperate with us in such defense.
ARBITRATION & WAIVER OF CERTAIN RIGHTS
You and PT. HALIM INTI GAHARA agree that, except as specifically set forth below, we will resolve any disputes between us (including any disputes between you and PT. HALIM INTI GAHARA’s third-party agents) through binding and final arbitration instead of in courts.
You and PT. HALIM INTI GAHARA hereby waive any right to a jury trial on any claims (defined below). All controversies, claims, counterclaims, or other disputes arising between you and PT. HALIM INTI GAHARA or you and PT. HALIM INTI GAHARA’s third-party agents (Claims) shall be exclusively settled through final and binding arbitration in accordance with Law No. 30 of 1999 on Arbitration and Alternative Dispute Resolution. The arbitration shall be conducted and determined by a single arbitrator. The arbitrator’s decision in such arbitration shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction. The parties agree that the arbitration proceedings shall be kept confidential and that the existence of the arbitration and any elements therein (including, without limitation, pleadings, submissions, or other documents submitted or exchanged and any testimony or oral submissions and awards) shall not be disclosed outside of the arbitration proceedings, except as required by law in proceedings relating to the arbitration, by applicable securities regulations or other government agencies’ disclosure rules, or as specifically permitted by local law.
OTHER PROVISIONS
Any action related to the use of the Site, mobile application, catalog, or any transactions with PT. HALIM INTI GAHARA must be brought in the state courts of Jakarta. You agree and submit to the personal jurisdiction of such courts for the purpose of such action. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of laws principles.
In no event shall we be liable for any delay or failure in performance resulting, in whole or in part, from acts of nature or other causes beyond our reasonable control.
If any provision of these Terms is found to be unlawful or unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
Our failure to enforce any right or provision of these Terms shall not prevent us from enforcing such right or provision in the future.
We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law.

(f) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH XIONCO.COM.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PT. HALIM INTI GAHARA OR ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO THE SITE , MOBILE APPLICATION, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
